Terms of Service

1. Acceptance of Terms

By accessing, browsing, or using the Vulcan platform available at blacksmithai.net or any associated subdomains, applications, or services (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and Blacksmith AI LLC ("Blacksmith AI," "we," "us," or "our"). If you are agreeing to these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms, in which case the terms "you" or "your" shall refer to such entity. If you do not have such authority, or if you do not agree with these Terms, you must not accept these Terms and may not use the Service.

Your continued use of the Service following the posting of any changes to these Terms constitutes acceptance of those changes. We reserve the right to update or modify these Terms at any time without prior notice beyond what is described in Section 18. It is your responsibility to review these Terms periodically for changes. These Terms apply to all visitors, registered users, subscribers, and any other individuals or entities who access or use the Service in any capacity.

2. Description of Service

Blacksmith AI LLC provides the Vulcan platform, an AI-powered software-as-a-service ("SaaS") solution purpose-built for government contracting professionals. The platform includes a comprehensive suite of tools for federal opportunity discovery and tracking, proposal management and collaborative document authoring, compliance matrix generation, staffing plan development, price workbook creation, past performance narrative assembly, organizational profile management, and AI-assisted writing and editing capabilities. The platform leverages advanced large language models and proprietary algorithms to accelerate the proposal development lifecycle and improve win rates for government contractors of all sizes.

The features, functionality, and availability of the Service may change as we continue to develop and improve the platform. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, including the availability of any feature, database, or content, with or without notice. We may also impose limits on certain features or restrict your access to parts or all of the Service without notice or liability. New features that augment or enhance the current Service shall also be subject to these Terms.

3. Eligibility

You must be at least eighteen (18) years of age to use this Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of a business, organization, or other legal entity, you represent and warrant that you are an authorized representative of that entity with the authority to bind it to these Terms. Accounts registered by automated methods, bots, or scripts are not permitted. We reserve the right to refuse service, terminate accounts, or cancel subscriptions at our sole discretion if we believe that any user does not meet these eligibility requirements.

4. Account Registration & Security

To access certain features of the Service, you must register for an account by providing accurate, current, and complete information as prompted by the registration form. You agree to maintain and promptly update your account information to keep it accurate, current, and complete. You are solely responsible for safeguarding the password and any other credentials used to access your account. We strongly recommend enabling two-factor authentication (2FA) where available to enhance the security of your account. You must not share your login credentials with any third party or allow any other person to access the Service using your account.

You are responsible for all activities that occur under your account, whether or not you authorized such activities. You must notify Blacksmith AI immediately at info@blacksmithai.net if you become aware of any unauthorized use of your account or any other breach of security. Blacksmith AI will not be liable for any loss or damage arising from your failure to comply with the security obligations set forth in this section. We reserve the right to suspend or terminate your account if we detect suspicious activity, repeated failed login attempts, or any other behavior that may compromise the security of the Service or other users.

5. Subscription Plans & Billing

The Service is offered on a per-seat subscription basis with monthly and annual billing options. All subscription plans include a seven (7) day free trial period during which you may evaluate the Service at no charge. At the conclusion of the trial period, your selected payment method will be charged automatically unless you cancel before the trial expires. Annual subscriptions are billed upfront for the full year and provide a discount compared to monthly billing. Per-seat pricing means each individual user within your organization who accesses the platform requires a separate paid seat.

All payments are processed securely through Stripe, Inc. ("Stripe"). By subscribing, you authorize Blacksmith AI and Stripe to charge your designated payment method for all fees associated with your subscription. Subscriptions automatically renew at the end of each billing cycle unless you cancel prior to the renewal date. All fees are stated in U.S. dollars and are non-refundable except as required by applicable law or as otherwise expressly stated herein. We reserve the right to change our pricing at any time, provided that we will give you at least thirty (30) days advance notice of any price increase. Price changes will take effect at the start of your next billing cycle following the notice period.

6. Token Usage

Each subscription seat includes an allocation of two hundred fifty thousand (250,000) AI processing tokens per billing cycle. Tokens are consumed when the Service processes your requests through AI models, including but not limited to document generation, proposal drafting, compliance analysis, and content editing. Token consumption varies based on the complexity and length of your requests and the resulting outputs. You may monitor your current token usage through the platform dashboard at any time.

Unused tokens do not roll over to subsequent billing cycles. If you exhaust your token allocation before the end of your billing cycle, AI-powered features may be temporarily limited or unavailable until your allocation resets at the start of your next cycle. Additional token packages may be available for purchase at then-current rates. Blacksmith AI reserves the right to modify token allocations, pricing, and consumption rates with reasonable advance notice to subscribers.

7. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. Without limiting the foregoing, you agree not to: (a) use the Service for any illegal, fraudulent, or unauthorized purpose, including the submission of false or misleading information in government proposals; (b) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or underlying architecture of the Service or any component thereof; (c) share, transfer, or disclose your account credentials to any third party, or permit any unauthorized person to access the Service through your account; (d) use any automated scripts, bots, scrapers, crawlers, or similar tools to access, extract data from, or interact with the Service without our express written permission.

You further agree not to: (e) use the Service or any data obtained from the Service to build, train, or improve a competing product or service; (f) upload, transmit, or distribute any malicious code, viruses, or any other technology that may harm the Service or the interests of other users; (g) interfere with or disrupt the integrity or performance of the Service or the servers and networks connected to the Service; (h) attempt to gain unauthorized access to any portion of the Service, other accounts, computer systems, or networks connected to the Service; or (i) use the Service to store or transmit any content that infringes upon the intellectual property rights of any third party. Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without notice or refund.

8. Intellectual Property

The Vulcan platform, including all software, source code, algorithms, machine learning models, user interfaces, designs, graphics, trademarks, service marks, logos, and all other intellectual property embodied in or associated with the Service, is and shall remain the exclusive property of Blacksmith AI LLC. The platform incorporates patent-pending algorithms and proprietary methodologies for AI-assisted government contracting workflows. Nothing in these Terms grants you any right, title, or interest in or to the Service or any of its components, except for the limited right to use the Service in accordance with these Terms during the term of your subscription.

You retain full ownership of all data, documents, and content that you upload to or create within the Service ("User Content"). Blacksmith AI does not claim any ownership rights over your User Content. The Blacksmith AI name, logo, and all related product and service names, design marks, and slogans are trademarks of Blacksmith AI LLC. You may not use such marks without our prior written permission. All other trademarks, registered trademarks, product names, and company names or logos mentioned in the Service are the property of their respective owners.

9. User Content & Data

You own all data, documents, proposals, organizational profiles, employee records, past performance narratives, and any other content that you upload to, create within, or transmit through the Service. By uploading or submitting User Content, you grant Blacksmith AI a limited, non-exclusive, non-transferable license to use, process, store, and display your User Content solely for the purpose of providing and improving the Service to you. This license terminates when you delete your User Content or when your account is terminated, subject to our data retention policies.

Blacksmith AI does not sell, rent, lease, or otherwise commercially exploit your User Content to any third party. We do not use your User Content to train general-purpose AI models or for any purpose unrelated to providing you with the Service. You are solely responsible for the accuracy, quality, integrity, legality, and intellectual property ownership of all User Content, including ensuring that you have all necessary rights and permissions to upload and process such content through the Service. Blacksmith AI is not responsible for any User Content that is inaccurate, incomplete, or otherwise deficient.

10. AI-Generated Content

The Service utilizes artificial intelligence models to generate content, including but not limited to proposal narratives, compliance matrices, staffing plans, price workbooks, and document summaries ("AI-Generated Content"). AI-Generated Content is provided as a tool and starting point to assist you in your work. It does not constitute legal advice, regulatory guidance, financial advice, or any other form of professional counsel. You acknowledge and agree that AI-Generated Content may contain errors, inaccuracies, or omissions, and that AI models may produce outputs that are incomplete or inconsistent.

You are solely responsible for reviewing, verifying, and validating all AI-Generated Content before incorporating it into any proposal, submission, report, or other document. Blacksmith AI makes no representations or warranties regarding the accuracy, completeness, suitability, or reliability of any AI-Generated Content. You assume all risk associated with your use of and reliance on AI-Generated Content. Blacksmith AI shall not be liable for any losses, damages, or adverse outcomes arising from your use of AI-Generated Content, including but not limited to unsuccessful proposal submissions, compliance failures, or misrepresentations in government filings.

11. Confidentiality

Both parties acknowledge that in the course of using the Service, each party may receive or have access to confidential information of the other party ("Confidential Information"). Confidential Information includes, but is not limited to, business plans, proposal content, pricing strategies, employee data, technical specifications, proprietary algorithms, customer lists, and any other information that is designated as confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure.

Each party agrees to: (a) protect the other party's Confidential Information using at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care; (b) not disclose Confidential Information to any third party except as expressly permitted by these Terms or with the prior written consent of the disclosing party; and (c) use Confidential Information only for the purposes contemplated by these Terms. For User Content that may include Controlled Unclassified Information (CUI), Blacksmith AI maintains security controls consistent with NIST SP 800-171 guidelines and applicable federal requirements for the handling of such information.

12. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Our Privacy Policy describes in detail how we collect, use, store, share, and protect your personal information and User Content. By using the Service, you consent to the collection, use, and sharing of your information as described in the Privacy Policy. We encourage you to review the Privacy Policy carefully and to check it periodically for updates. The Privacy Policy is available at blacksmithai.net/privacy.

13. Third-Party Services

The Service integrates with and relies upon certain third-party services to deliver its functionality. These include, but are not limited to: Anthropic and OpenAI for large language model AI processing; Google for AI model services and authentication; Stripe for secure payment processing and subscription management; and Mapbox for geospatial data and mapping features. Each of these third-party services has its own terms of service and privacy policies, which you should review independently.

Blacksmith AI is not responsible for the availability, accuracy, or reliability of any third-party service. We share only the minimum data necessary with third-party providers to deliver the Service's functionality. Disruptions, changes, or termination of third-party services may affect the availability or functionality of certain features of the Service. Blacksmith AI shall not be liable for any damages, losses, or inconvenience caused by the actions, omissions, or failures of third-party service providers. Your interactions with any third-party service are solely between you and the third party.

14. Service Availability & SLA

Blacksmith AI strives to maintain reasonable uptime and availability for the Service. We target a monthly uptime percentage of 99.5% for production infrastructure, excluding scheduled maintenance windows. Scheduled maintenance will typically occur during off-peak hours (weekends or evenings Central Time) and we will endeavor to provide at least twenty-four (24) hours advance notice via email or in-platform notification for planned maintenance that may cause service disruption.

Notwithstanding the foregoing, Blacksmith AI does not guarantee that the Service will be uninterrupted, error-free, or available at all times. The Service may be subject to limitations, delays, and other problems inherent in the use of the internet and electronic communications, including but not limited to failures of third-party services, network outages, force majeure events, and emergency maintenance. Blacksmith AI shall not be liable for any downtime, data loss, or other consequences resulting from service interruptions, whether planned or unplanned.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BLACKSMITH AI LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF BLACKSMITH AI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

BLACKSMITH AI'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES ACTUALLY PAID BY YOU TO BLACKSMITH AI DURING THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

16. Indemnification

You agree to indemnify, defend, and hold harmless Blacksmith AI LLC and its officers, directors, employees, agents, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of any third party, including intellectual property rights; (d) your User Content; (e) any misrepresentations made by you in government proposals or submissions created using the Service; or (f) any negligent, fraudulent, or willful misconduct by you. Blacksmith AI reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims. You agree not to settle any such matter without the prior written consent of Blacksmith AI.

17. Termination

Either party may terminate this agreement at any time. You may cancel your subscription through your account settings or by contacting us at info@blacksmithai.net. Cancellation will take effect at the end of your current billing cycle, and you will retain access to the Service until that date. Blacksmith AI may suspend or terminate your account immediately, without prior notice or liability, if you breach any provision of these Terms, engage in fraudulent or illegal activity, or if we determine in our sole discretion that your continued use of the Service poses a risk to the platform, other users, or Blacksmith AI.

Upon termination, your right to use the Service will immediately cease. Blacksmith AI will retain your User Content for a period of thirty (30) days following termination to allow you to export your data. After this 30-day retention period, all User Content will be permanently deleted from our systems, including backups, within ninety (90) days. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 8 (Intellectual Property), 10 (AI-Generated Content), 11 (Confidentiality), 15 (Limitation of Liability), 16 (Indemnification), and 19 (Governing Law). No refunds will be issued for any prepaid fees covering the remainder of a billing cycle after termination, except as required by applicable law.

18. Modifications to Terms

Blacksmith AI reserves the right to modify, amend, or replace these Terms at any time. For material changes, we will provide at least thirty (30) days notice via email to the address associated with your account or through a prominent notice within the Service. Non-material changes, such as typographical corrections or clarifications, may be made without advance notice. The "Last updated" date at the top of these Terms will be revised to reflect the date of the most recent changes.

Your continued use of the Service after the effective date of any modifications to these Terms constitutes your acceptance of and agreement to the modified Terms. If you do not agree to the modified Terms, you must stop using the Service and cancel your subscription before the changes take effect. It is your responsibility to review these Terms periodically. Your continued use of the Service following the posting of revised Terms means that you accept and agree to the changes.

19. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Oklahoma, United States of America, without regard to its conflict of law provisions. Any legal action, suit, or proceeding arising out of or relating to these Terms or the Service shall be instituted exclusively in the state or federal courts located in Oklahoma County, Oklahoma. Both parties irrevocably consent to the exclusive jurisdiction of and venue in such courts for the purpose of any such action, suit, or proceeding. The parties agree that the United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms or the transactions contemplated herein.
